3. Client Responsibilities
- Provision of Information: Clients must provide accurate, complete, and timely information required for the delivery of services.
- Content Ownership: Clients are responsible for ensuring they have legal rights to any content provided to Blitzify.
- Approval and Feedback: Clients must provide timely approvals and feedback to facilitate the progress of the project.
- Compliance: Clients are responsible for complying with applicable laws and regulations related to their industry.
4. Payment Terms
- Pricing and Invoicing: All pricing for services will be confirmed in writing before project commencement. Invoices are due upon receipt unless otherwise agreed.
- Payment Methods: Payments can be made via bank transfer or other agreed-upon methods.
- Late Payments: Late payments will incur a 5% late fee for every 14-day period past the due date. Services may be suspended until full payment is received.
- Non-Payment: In the event of non-payment, Blitzify reserves the right to terminate services and seek legal remedies.
5. Intellectual Property Rights
- Client Content: Clients retain ownership of all intellectual property they provide.
- Blitzify Deliverables: Upon full payment, clients receive a non-exclusive, non-transferable license to use the final deliverables.
- Third-Party Materials: Clients are responsible for ensuring proper licensing of any third-party content.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the project. Confidentiality obligations remain in effect even after project completion.
7. Limitation of Liability
- Indirect Damages: Blitzify will not be liable for indirect, incidental, or consequential damages arising from the use of our services.
- Liability Cap: Our total liability is limited to the amount paid by the client for the specific service that gave rise to the claim.
- Third-Party Services: Blitzify is not responsible for issues arising from third-party platforms or services.
8. Termination and Suspension
- By Client: Clients may terminate services with a 14-day written notice. Completed work will be billed accordingly.
- By Blitzify: We may terminate or suspend services if the client breaches these Terms, fails to make payments, or engages in unlawful activities.
- Post-Termination: Upon termination, all unpaid fees become immediately due, and Blitzify will provide any completed work up to the termination date.
9. Refund Policy
- Service-Based Refunds: Refunds will only be considered for services not yet rendered. No refunds are provided for completed services.
- Dispute Resolution: If a client disputes a service, they must notify Blitzify within 7 days of service completion. We will investigate and attempt to resolve the dispute in good faith.
10. Force Majeure
Blitzify is not liable for delays or failures in performance resulting from circumstances beyond our control, including but not limited to natural disasters, government actions, or acts of terrorism.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
13. Amendments
Blitzify reserves the right to amend these Terms at any time. Clients will be notified of significant changes via email.
14. Entire Agreement
These Terms constitute the entire agreement between Blitzify and the client regarding the services provided and supersede any prior agreements.
